By-Laws


Article I
Name & Object

Section  1.  Name
The name of the organization shall be the Stillwater Rod & Gun Club Incorporated.

Section  2.  Object
The object of this club shall be to provide interest in hunting, trapping and other related lawful sports, to aid in the protection and conservation of all natural resources; and to acquire, provide and maintain suitable facilities for use and recreation of its members.

Section  3.  Dissolvement
The club cannot be dissolved while five (5) members in good standing object to the dissolution and this section cannot be altered, amended or rescinded.

Article II.
Membership

Section 1.  New members
Any person that is eligible for a New York State hunting or fishing license may start to become a member of the Club by submitting a written application to the Executive Committee.  Sponsorship by a member in good standing of the club, an affirmative vote by the Executive Committee and payment of the stipulated fees, dues and/or assessments are required.

Section  2.  Probation
Upon being accepted, all new members are put on probation for one (1) year.  The following year if the member renews the membership, an affirmative vote by the Executive Committee will remove the member from probation. 

Section 3.  Junior membership
Junior membership is applicable to age 16 at which time the individual is eligible for full membership.  Junior members are prohibited from voting and holding office. 

Section 4. Suspension or Expulsion of Members
If a complaint against any  member shall be signed by 3 [three] other members and filed with  the secretary, the secretary shall bring the matter to the notice of the board of  directors within 3 [three) days of the date of the complaint. The board of directors shall then request an explanation from the accused member, and if the accused member fails to explain or, after a fair hearing, is unable to justify his or her conduct, the board of directors is empowered to inflict a fine or to pass a resolution suspending or expelling the accused member from the club [such resolution not to take effect until affirmed by a majority vote of the board of directors specially summoned to consider the resolution).   

Section 4(a). Grounds for Suspension
A majority of the board of directors shall have power to suspend or expel members for willful infractions of the clubs rules or any of the bylaws of the club, or for acts or conduct that they may deem disorderly or injurious or hostile to the interests of the  objects of the club, or for acts or conduct calculated to disturb the order, peace, or harmony of the club or to impair the good name of the club.    
       
Section 4.(b). Appeal by Member
The offender may appeal from the sentence of suspension or expulsion, as provided in these bylaws.

Section 4(b)(l) . Preliminary Notice and Hearing.
Prior to the expulsion or suspension of a member, the member shall be entitled to a notice and hearing  before the board of directors.

Section 4(b)(2). Notice of Appeal
A member expelled or suspended from the club by determination of the board of directors may appeal such action within  30 [thirty] days after notice of the determination is posted on the bulletin board, by filing with the secretary a written notice of his or her appeal, and the reasons supporting such appeal.

Section 4(b)(3). Time for Hearing Appeal
All appeals shall be heard at a meeting of  the membership, to be called for that purpose by the board of directors, within 40 [forty] days after notice of the appeal has been filed with the secretary.

Section 4(b)(4). Procedure
The president or vice-president shall preside at such meetings, and the cause of suspension or expulsion shall be reported in writing by the board of directors, with a statement of facts on which their  determination was founded, a copy of which will be furnished to the appellant at least 10 [ten] days before the meeting, at which time a copy of the determination shall also be filed with the secretary. At the appeal meeting, the appellant shall present his or her defense in writing, to which one member of the board of directors may reply orally. The appellant, or any one member in the appellant's behalf; may then answer orally, and a director may speak in  support of the charge; thereafter, no further discussion will be  allowed.

Section 4(b,)(5). Disposition of Appeal.
The presiding officer shall then put the question to the membership, as follows: "Shall the determination of the board of directors in this case be affirmed?" If a majority of those present vote in the affirmative, the determination will stand as the final judgment of the club.  If less than a majority of those present vote in the affirmative, then the determination of the board of directors will be reversed, and the appellant will be immediately restored to full membership rights and privileges, and the board of directors shall be precluded from again suspending or expelling the member for the same offense based on the facts and occurring at the same time  and place as alleged in the original complaint. 

Article III
Rules

Section 1. “Roberts Rules of Order” shall govern the deliberations of all meetings of the members, Board of Directors and Executive Committee unless specifically waived.

Section 2. The Stillwater Rod and Gun Club grounds are private, they are for the use of members and guests of members only.  Guests must be accompanied by a member.  Members must show membership card or leave whenever requested.

Section 3. A membership card an be made out for Mr. or Mrs. and either Mr. or Mrs. can use the cards.  You are entitled to bring two (2) guests.

Section 4. Children up to 18 years of age are not listed as guests, but they must be accompanied by a parent.

Section 5. Beaches and tables are provided for all.  Please do not move any benches or tables to the beach area.  No member is permitted the use of more than one table. 

Section 6. This is a private beach, and you are responsible for the safety of your party, watch your children on the beach they are your responsibility.


Section 7. Members are financially responsible for any damage done by their family or their guest, and for their behavior.

Section 8. Boats shall be launched and motored only in designated areas.  Avoid the swimming area.

Section 9. No camping is permitted on the grounds except by expressed permission of the Board of Directors.

Section 10. The club buildings may not be used except by express permission of the Board of Directors.

Section 11. Firearms or bow and arrows are forbidden on the picnic grounds, from the hill to the river.

Section 12. The grounds are reserved for the Rod and Gun Club functions, such as clam steams, barbecues and shoots.  Notices will be posted in advance, and the secretary will be notified of the date as much in advance as possible.  During these times the grounds are closed to all other activities.

Section 13. No property of the Rod and Gun Club shall be removed from the grounds without permission from the Board of Directors.

Section 14. No member may bring a guest to shoot more than once.

Section 15. Range hours: 8:00 am - sundown.

Section 16. The club and it’s leasee shall not sell or distribute alcoholic beverages.

Section 17. Junior members are required to have an adult at all times in direct supervision of them when using the rifle or archery range.

Article IV.
Dues and Year

Section 1.  The amount of annual dues, stipulated fees and/or assessments shall be established by the Board of Directors.

Section  2.  The membership, fiscal and calendar year of the club shall be from January 1 to December 31.

Article V.
Officials

Section  1.  The officers of the club shall be a President, a Vice-President, a Secretary/Treasurer.  They shall be elected at the Annual Meeting for a three (3) year term of office.  An officer may be elected to succeed him/herself.

Section  2.  A club officers term of office may be terminated if just cause or good reason is found by the Board of Directors.  If the officer (‘s) refuses to resign, the Board of Directors must bring the matter before the General Membership for a resolution.

Section  3. A member must be in good standing for three (3) years before the member is eligible for office.

Article VI.
Duties of Officers

Section  1.  The officers of the club shall follow the definition of their office as listed in “Robert’s Rules of Order”.  In addition the Secretary shall be specifically conduct all official correspondence and post the place, date and time of all meetings and keep a written record of all meetings.

Section  2.  The President has the responsibility to appoint a new board member in the event of a vacancy on the Board of Directors, with approval of the Board of Directors.

Article VII.
Audit

Section 1.  The financial accounts of the club shall be audited by a committee appointed by the President before the Annual Meeting.  The treasurer shall present the findings of the committee at the Annual Meeting. 

Article VIII.
Board of Directors

Section 1.  The policy, government and direction of the club in it’s work shall be rested in a Board Of Directors, consisting of eight (8) members in good standing and the elected officers.  Four (4) directors shall be elected for three (3) years, three (3) for five (5) years, and one (1) for seven (7) years.  These directors shall, from among themselves, elect a Chairman who will serve in that position for one (1) year.  A director/chairman may be elected to succeed themselves. 

Section  2.  The chairman of the Board of Directors must call the Directors together for a meeting at least once each calendar year quarter.

Section  3.  Members of the Board of Directors shall be elected at the Annual Meeting of the club.

Section  4.  A quorum for business shall consist of seven (7) of the 11 members referred to in this article.

Section  5. The Board of Directors may expell a memeber from the club by an affirmative vote of 2/3 of the Board members present.

Article IX.
Fees, Dues and Assessments

Section  1.  The club may by majority vote of the Board of Directors at any regular or specific meeting called for the purpose, fix any fees, dues or assessments necessary for the operation of the club.

Article X.
Meetings and Quorum

Section 1.  The Annual Meeting shall be held during the month of January each calendar year.  If not held it will be held within a reasonable time there after.  The officers and directors shall hold office until their successors have been elected.  Five (5) percent (%) of the members in good standing shall constitute a quorum at all club membership meetings.
